Terms of Service

These terms govern the use of BotConfirm ("the Service"), provided by BMH DIGITAL LTD ("BotConfirm", "we", "us"), a company registered in England and Wales under number 16338088. By creating an account or using the Service you ("the Merchant", "you") agree to these terms.

1. The Service

BotConfirm receives orders from your online store, sends WhatsApp messages to your customers according to the automation rules you configure, records their replies, and updates the status of each order accordingly. Messages are delivered through the WhatsApp Business Platform using a WhatsApp Business number that you own and connect to the Service.

2. Eligibility and accounts

• The Service is offered to businesses only. You confirm that you are using it on behalf of a business and are authorised to bind that business to these terms.
• You are responsible for the security of your account credentials and API keys, and for everything done through your account.
• You must provide accurate business and contact information and keep it current.

3. Your obligations when messaging customers

Because messages are sent in your name to your customers, you agree to:

• Comply with the WhatsApp Business Messaging Policy and Commerce Policy, and with Meta's terms for the WhatsApp Business Platform
• Message only customers who have placed an order with you or otherwise agreed to be contacted, and honour any request to stop
• Send messages related to the customer's order and your business; not send spam, unsolicited marketing, misleading content, or anything unlawful
• Have a lawful basis, under the data protection law that applies to you, to share your customers' names, phone numbers and order details with the Service
• Provide your customers with your own privacy notice covering this processing

We may suspend or terminate accounts that breach these obligations, and we may be required to do so by Meta.

4. Data protection

For your customers' data, you are the data controller and we act as your processor. We process that data only to provide the Service, as described in our Privacy Policy, which forms part of these terms. We will delete your data when your account is closed, as set out in that policy.

5. Fees

• Subscription fees for the Service are those published on botconfirm.com or agreed with you in writing, and are billed in advance for each billing period.
• WhatsApp message fees set by Meta are separate from our subscription and are passed on to you at cost or as stated in your plan.
• Fees are non-refundable except where the law requires otherwise. We may change our fees with at least 30 days' notice.

6. Availability and third-party services

We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. Delivery of messages depends on WhatsApp, Meta and our messaging provider, whose availability, policies and message limits are outside our control. Message delivery is not guaranteed, and we are not responsible for messages that WhatsApp declines to deliver.

7. Your store integration

You are responsible for configuring your store (for example WooCommerce webhooks) correctly and for keeping the shared secret confidential. We are not responsible for orders that never reach the Service because of a misconfiguration on your side.

8. Intellectual property

The Service, its software, design and documentation belong to BMH DIGITAL LTD. We grant you a non-exclusive, non-transferable right to use the Service for your business while your account is active. Your data and your message content remain yours.

9. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, loss of profit, loss of sales, or losses arising from undelivered or delayed messages, from third-party services, or from your breach of these terms. Our total liability to you in any twelve-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited by law.

10. Termination

• You may close your account at any time from the dashboard or by contacting us.
• We may suspend or terminate your account for breach of these terms, for non-payment, or if required by law or by Meta, giving notice where reasonably possible.
• On termination, your access ends and your data is deleted as described in the Privacy Policy.

11. Changes to these terms

We may update these terms. We will give you at least 14 days' notice of material changes by email or on the dashboard. Continuing to use the Service after that date means you accept the updated terms.

12. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer or business protections that apply in your country.
